Salary: $145,000 to $175,000+ (commensurate with experience)

About the Position

This sophisticated, boutique firm is adding an Associate Attorney focused on Delaware opinions and substantive non-consolidation opinions for commercial real estate finance transactions. The work for this lawyer centers on high-volume real estate finance matters, including CMBS and related borrower or lender side transactions. All roles are fully remote, with a preference for candidates based in PA, FL, VA, or NC.

Key Responsibilities

• Prepare and deliver Delaware opinions and substantive non-consolidation opinions for real estate finance transactions.

• Review and draft organizational documents for SPE and deal structuring in commercial real estate finance.

• Apply and interpret S&P criteria for bankruptcy-remote entities and opinion frameworks used in CMBS transactions.

• Support a high-volume transactions practice and manage client communications with growing responsibility.

• Collaborate with attorneys across locations to ensure consistent, on-time delivery for sophisticated finance clients.

Qualifications and Requirements

• Education: Juris Doctor from an ABA-accredited law school.

• Bar Admission: Delaware (DE) license strongly preferred. Admission in PA, VA, FL, or NC is helpful (Pennsylvania, Virginia, Florida, North Carolina)

• Experience: Approximately 5 to 10+ years in commercial real estate finance with significant experience giving Delaware opinions and substantive non-consolidation opinions.

• Background: Training or experience within a firm that maintains a substantial Delaware opinion practice is ideal.

• Knowledge: Familiarity with S&P criteria for bankruptcy-remote entities, CMBS transactions, and SPE structuring.

• Traits: Comfortable with the cadence and client demands of a high-volume transactions practice. No portable book required.
