We are seeking a dedicated Transactional Corporate Attorney to join our dynamic team at our esteemed Am Law 200 firm, with possible locations in Delaware, Florida, Maryland, New Jersey, New York, or Texas. Salary: $240,000.00 - $320,000.00 per year

Essential Duties and Responsibilities:

• Advise clients on a wide range of corporate governance and business matters.
• Structure, negotiate, and manage complex M&A transactions.
• Conduct legal due diligence in transactions to identify and evaluate risk and compliance issues.
• Prepare and review legal documents such as merger agreements, stock purchase agreements, and asset purchase agreements.
• Assist in the formation, organization, and management of corporate entities and prepare related legal documents.
• Participate in client meetings and conference calls to understand client goals and provide tailored advice.
• Collaborate with cross-functional teams globally to ensure comprehensive legal support.

Minimum Position Qualifications:

• J.D. from an accredited law school and good standing in the applicable bar association(s).
• At least 3 years of experience in corporate law, focusing on M&A, finance, securities, or related fields.
• Proven ability to manage multiple transactions simultaneously and under tight deadlines.
• Strong analytical and problem-solving skills with a proactive approach to resolving issues.
• Exceptional oral and written communication skills; capable of presenting complex legal ideas clearly and effectively.

Preferred Qualifications:

• Experience in a large law firm or corporate legal department.
• Additional certifications or evidence of continuing legal education in corporate law.
• Experience with international corporate transactions and regulatory frameworks.
• Strong interpersonal skills with experience in negotiating and metworking with different stakeholders.
