Am Law 200 firm based in New York seeks a seasoned Transactional Attorney to bolster our dynamic team across various U.S. locations including Delaware, Florida, Maryland, New Jersey, New York, and Texas. This role is central to the firm's strategic initiative in expanding our corporate transactions, mergers & acquisitions, fund formation, and finance sectors. Ideal candidates will be deeply involved in high-profile negotiations, providing strategic legal counsel to high-caliber clients, and pushing the boundaries of legal frameworks to close deals efficiently.

Salary: $240,000.00 - $320,000.00 per year

Essential Duties and Responsibilities:

• Lead complex M&A transactions from inception to close.
• Facilitate the structuring, negotiation, and execution of corporate finance deals.
• Advise on fund formations and operations, including compliance with federal securities regulations.
• Provide tactical legal insights during negotiation phases to protect client interests and ensure regulatory compliance.
• Coordinate with multiple stakeholders including regulatory bodies, executive leadership, and external counsel.
• Prepare and review all transaction-related documents and ensure accuracy and legality.
• Mentor junior attorneys and support staff to foster teamwork and professional development within the firm.

Minimum Position Qualifications:

• Minimum of 3 years of direct experience in corporate law, specifically M&A, finance, securities, and/or fund formation.
• J.D. from an accredited law school and admittance to the bar in one of the applicable states (DE, FL, MD, NJ, NY, TX).
• Proven track record of handling complex legal transactions and negotiations.
• Strong analytical and problem-solving skills with attention to detail.
• Exceptional oral and written communication abilities.
• Demonstrated experience in leading a team through complex transactions.

Preferred Qualifications:

• Experience in a leading national or international law firm.
• Background in cross-border transactions and multinational corporate law practices.
• Knowledge of regulatory changes and impacts affecting the finance industry.
• Specialized certifications in securities or financial law.
• Experience in corporate restructuring and crisis management.
