The role is ideal for a candidate with a solid transactional background looking to expand their experience in private credit and sponsor finance.

Duties:

Represent private equity sponsors, banks, and private credit institutions in complex finance transactions

Structure and negotiate leveraged financing deals, including acquisition financings and growth capital arrangements

Draft and revise key transaction documentation, such as commitment letters, credit agreements, intercreditor agreements, and security instruments

Coordinate with internal teams and opposing counsel to ensure timely closings

Provide ongoing counsel to clients on debt compliance, structuring considerations, and risk management

Conduct due diligence and risk assessment on transactional matters

Requirements:

Experience practicing in debt finance, with a focus on sponsor or lender representation

Proficiency in drafting and negotiating credit and collateral documents

Familiarity with leveraged lending structures and private credit markets

Strong business judgment and attention to transactional detail

Ability to manage multiple workstreams under tight deadlines

Education:

Juris Doctor (J.D.) from an accredited law school

Certifications:

Admission to the Massachusetts Bar or eligibility to promptly secure admission

Skills:

Excellent written and oral communication

Strong analytical and problem-solving capabilities

Team-oriented with a proactive and client-service mindset
