A prestigious law firm is seeking an associate with 4-7 years of experience to join its highly-regarded sponsor-side private equity fund formation practice in New York. The position offers the opportunity to work directly with leading practitioners, gain hands-on experience, and engage with clients on cutting-edge matters in the private equity fund formation space.

Duties
- Work on sponsor-side private equity fund formation matters.
- Assist with structuring and negotiating fund agreements, including limited partnership agreements (LPAs), investment management agreements, and side letters.
- Collaborate with clients to provide legal counsel on fund formation, governance, and regulatory matters.
- Conduct legal research and analysis on fund-related issues and industry developments.
- Participate in drafting and reviewing fund documents and agreements.
- Manage client communications and ensure smooth project execution.
Requirements
- 4-7 years of experience in corporate law, with a focus on private equity fund formation or related areas.
- Strong experience working on sponsor-side private equity funds, including fund formation, governance, and regulatory matters.
- Proven ability to structure, negotiate, and draft complex legal documents related to private equity funds.
- Ability to interact directly with clients and manage relationships.
- Strong communication skills, both written and verbal.
Education
- J.D. (Juris Doctor) degree from an accredited law school
Certifications
- Active license to practice law in New York
